"SNACKTIME" PROMOTIONAL IMAGE DESIGN CONTEST RULES

HOW TO ENTER:

No purchase necessary.  By entering the contest entrants agree to comply with the standard contest rules and regulations set forth on bnlmusic.com.

Entries must be submitted to bnlcontest@nettwerk.com (BNL Contest e-mail address), along with your contact information (name, address, e-mail address, age and telephone number). If you are a Selected Entrant you will also be required to sign a hard copy of the Entry Form and Release Form as part of the contest closing documents before the prize will be awarded.

The Contest begins March 5, 2008 and all entries must be submitted to bnlcontest@nettwerk.com on or before March 19, 2008 at 11:59 pm pst (the Contest closing date).
Entrants may submit as many entries as they like as long as the entries meet the following criteria:

- Entries should be submitted in jpeg or gif format (please keep under 1 mb)
- Entries can be hand drawn or created on the computer;
- The design must be 100% your work;
- No copyrighted images can be used in anyway;
- You cannot use any of Barenaked Ladies's logos unless you draw them yourself and use them in some manipulated way.
- Retain your hi-resolution version of the design as it will be required to produce the final artwork should you be the Selected Entrant

PRIZES:
The winning entry will be selected on March 21, 2008 from the eligible entries received.  The Grand Prize Selected Entrant will be contacted by telephone and will have 24 hours to respond.   The entries will be judged and selected by the band based upon the criteria of 33% originality, 33% creativity and 33% content. Judging will be conducted by the judging panel in its sole and exclusive discretion. All decisions of the judging panel are final. In the event of a tie, a tiebreaker will be conducted based upon skill. For Wisconsin residents only, in the event of a tie, duplicate prizes will be awarded. In the discretion of the judges, the one (1) Grand Prize winning entry will be used as a promotional image for their new album "Snacktime". The one (1) Grand Prize Selected Entrant will not receive any compensation from the production or sale of the artwork. The one (1) Grand Prize Selected Entrant will receive the following prizes:
One (1) BNL Hoodie, One (1) BNL t-shirt, and One (1) personally autographed copy of the CD "Snacktime" (Approx. retail value: $80)

Before being declared a winner of any prize, the Selected Entrant, if a Canadian resident, must have correctly answered a mathematical, skill-testing question posed during a telephone interview or in person, without mechanical or other assistance. Before being declared a winner, the Selected Entrant will be required to sign a Declaration and Release Form confirming compliance with the Contest rules and acceptance of the prize as awarded, releasing Nettwerk Productions, [www.nettwerk.com], and the Artist ("The Sponsors") from any and all liability in association with the contest or the prize and transferring all right, title and interest to the artwork to the Sponsors. The one (1) Grand Prize winning artwork design will only be included as a promotional image, and the prizes awarded on the execution of the release.
The Sponsors reserve the right to cancel this promotion at any time for any reason. The prizes are not transferable, refundable, or redeemable for cash. The prizes must be accepted as described and as awarded. If the Selected Entrant cannot be reached by 5:00 p.m. (PST) on March 26, 2008 or the Selected Entrant is unable or unwilling to comply with the Contest rules, the prize will be forfeited.

ELIGIBILITY:

The Contest is open to all individual residents of Canada (excluding Quebec) and legal residents of the United States (excluding Rhode Island), except for employees of the Sponsors and their affiliated companies, advertising and promotional agencies, and all persons with whom such excepted persons are domiciled. Should an entrant be under the age of majority in the province or state of their residence, a parent or guardian must authorize the minor to enter the Contest by submitting the Entry Form and the Release Form on the minor's behalf and if a minor is selected as a potential winner, the prize will be awarded to the parent or legal guardian and the parent or legal guardian must sign and return all required documentation.

Individuals may enter this Contest only if entering the Contest will not put them in breach of, or conflict with, any agreements which they are a party to.

GENERAL:

All entrants acknowledge by entering this Contest that any artwork provided on the BNL Artist Page as part of this Contest cannot be used by the entrants (or others) for any other purpose whatsoever other than to enter this Contest.

By participating in this Contest, entrants acknowledge compliance with, and agree to be bound by these rules including eligibility requirements and the decisions of the judges, which decisions shall be final and binding upon all Entrants.

Entrants release and hold harmless the Sponsors and any Internet access providers, and their respective divisions, affiliates, related companies, directors, officers, subsidiaries, agents, employees and all others associated with the development and execution of this Contest, from and against any and all liability with respect to or in any way arising from this Contest and the awarding, use, or misuse of any prize, including liability for personal injury or damage to property.

The Sponsors are not responsible for entries which are lost, misdirected or delayed for any reason whatsoever including, but not limited to: technical malfunctions; human error; corrupted data transmission; interruption, deletion, defect or line failures of any telephone network, computer equipment, software or any combination thereof; any inability to access the site; or damage to a user's system occasioned by participating in the Contest. Sponsors are not responsible for misdirected or  incomplete entries or for corrupted or unusable files, or if they violate third party rights or are otherwise not in compliance with these rules. Web entrants must have a valid email address. In the event of a dispute regarding the identity of the person submitting an electronic entry, the entry will be deemed to be submitted by the person in whose name the email account is registered.

No responsibility will be taken for any failure of the Contest website during the promotion, or for any problems or technical malfunctions of a telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any entry to be received by facebook.com on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer or property related to or resulting from playing or downloading any material in the promotion. The Sponsors reserve the right, in their sole discretion, to cancel or suspend this Contest should a virus, bug or any other cause beyond the reasonable control of the Sponsors corrupt the security or proper administration of the Contest. Any attempt to deliberately damage any website or to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, the Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Entries are subject to verification and will be declared invalid if they are illegible, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way or if they violate third party rights or are otherwise not in compliance with these rules.

Entrants hereby represent and warrant that all artwork and images included in their promotional designs are wholly original and that no image or artwork has been copied from any other source or otherwise violate any third party rights. Sponsors will not be responsible or held liable for any images or artwork which are included in any submitted materials which have been copied from any other source.

Selected Entrants agree to license the winning designs to the Barenaked Ladies on an exclusive basis. Entrants acknowledge that Nettwerk Productions may commercially release or otherwise exploit the artwork design in any manner it deems fit, now or hereinafter invented, without territories limitations, and that entrant shall not be entitled to any payment of any kind as a result of such use or other exploitation.

All decisions of the judging panel are final. The chances of being selected depend upon the total number of eligible entries received and upon the decisions of the judging panel. This Contest is subject to all applicable federal, provincial, state and municipal laws and regulations.

No correspondence will be entered into except with the Selected Entrant. Selected Entrants will be notified via telephone immediately following the draw and will have twenty-four hours (24) to respond.  By entering this Contest, except where prohibited by law, the Selected Entrants consent to the use of their name and/or photograph, without compensation, in any publicity carried out by Nettwerk Productions, and the Artist, in connection with the Contest in any and all media without territorial or time limitations, and they waive all rights with respect to printed, broadcast and other publicity.

All winning entries become the property of Nettwerk Productions and none will be returned to the entrants.
